These Terms & Conditions (“Terms”) govern your access to and use of the ChildShield mobile applications for iOS and Android, and related services available via childshield.cogence.ai (together, the “Service”).

By downloading, installing, or using the App, you agree to these Terms. If you do not agree, do not use the App.

1. Who may use the App

ChildShield is intended for licensed healthcare professionals and authorized clinic staff for pediatric follow-up coordination (including DDH and hearing-related pathways). You represent that:

• You are authorized by your clinic/organization to use the App
• You will use the App only for lawful clinical/administrative purposes
• You will obtain any consents required under applicable law before entering parent or child information

The App is not for use by children as end users.

2. Description of the Service

ChildShield provides tools to:

• Enroll newborns and record follow-up details on a clinician device
• Track case status and clinical screening fields
• Schedule local reminders and open WhatsApp / phone with pre-filled outreach
• Optionally sync records to ChildShield servers where enabled
• View simple analytics and export capabilities where available

Features may change over time as we improve the Service.

3. Not a medical device; no medical advice

ChildShield is a workflow and follow-up coordination tool. It is not a substitute for professional medical judgment, diagnosis, or treatment. Risk scores or heuristics (if shown) are decision-support aids only and must not replace clinical assessment. Always follow applicable clinical guidelines and your organization’s protocols.

4. Accounts, devices, and security

• You are responsible for safeguarding the device on which the App is installed (passcode, biometrics, OS updates).
• You must not share API keys, credentials, or unauthorized access to clinic systems.
• Notify your clinic administrator promptly if a device is lost, stolen, or compromised.

5. Your responsibilities for patient data

You and your clinic are responsible for:

• Accuracy of information entered into the App
• Lawful basis and parental/guardian notices or consents where required
• Appropriate use of parent phone numbers and WhatsApp outreach
• Compliance with local health data, privacy, and professional regulations

6. Messaging and third-party apps

Outreach features may open WhatsApp or the system phone dialer. Delivery of messages depends on those third-party services and the recipient’s device. We are not responsible for WhatsApp, telecom carriers, or message delivery failures. Standard carrier and WhatsApp terms apply.

7. License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your clinic’s internal pediatric follow-up purposes. You may not:

• Copy, modify, or create derivative works of the App except as allowed by law
• Reverse engineer or attempt to extract source code except where mandatory law permits
• Rent, lease, sell, sublicense, or misuse the App
• Use the App to violate any law or third-party rights
• Attempt to disrupt or overload the Service

8. App Store / Google Play terms

If you downloaded the App from the Apple App Store or Google Play, you also agree to the applicable store terms. Apple and Google are not parties to these Terms and have no obligation to provide maintenance or support for the App, except as required by their own policies. In case of conflict between these Terms and store rules regarding the store’s role, the store rules control for that subject.

9. Intellectual property

The App, branding, and related materials are owned by ChildShield / Cogence or its licensors. These Terms do not transfer ownership of any IP to you. Patient data remains subject to the rights and obligations of the clinic and applicable law.

10. Availability and changes

We may update, suspend, or discontinue features. We do not guarantee uninterrupted availability. Sync and hosted features depend on network connectivity and server availability.

11. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE ERROR-FREE OR THAT DATA WILL NEVER BE LOST.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, OFFICERS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, OR BUSINESS, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU (OR YOUR CLINIC) PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR USD $50 IF NO FEES WERE PAID.

Nothing in these Terms excludes liability that cannot be excluded under applicable law (including liability for death or personal injury caused by negligence where such exclusion is prohibited).

13. Indemnity

You agree to indemnify and hold us harmless from claims arising out of your misuse of the App, unlawful processing of patient data, or violation of these Terms, except to the extent caused by our willful misconduct.

14. Termination

You may stop using the App at any time by uninstalling it. We may suspend or terminate access to sync/API features if you violate these Terms or pose a security risk. Provisions that by nature should survive (including IP, disclaimers, and liability limits) will survive termination.

15. Governing law

These Terms are governed by the laws applicable to the operator of ChildShield / Cogence, without regard to conflict-of-law rules, unless mandatory local consumer or health law requires otherwise. Courts in that jurisdiction will have exclusive venue, subject to mandatory local law.

16. Changes to these Terms

We may update these Terms periodically. The “Last updated” date will be revised when changes are posted at https://childshield.cogence.ai/terms. Continued use after changes constitutes acceptance where permitted by law.
